Strategy
Acting Strategic Advisor to CEO of a financial services firm,
we carried out a variety of assignments including:

Providing support to the CEO through the negotiation of three
offers to purchase the company

Preparation of key regulatory submission materials as part
of the application for a de novo bank licence.

Preparation of Business Plans, financial projections, and
investor presentations to support management in negotiations
around two offers to purchase and a major $20 million funding
round

diagnostics, early warning of revenue downturn and development
of new Sales & Marketing

Negotiation of the purchase of a new integrated banking software
platform which yielded a $1 million saving to the client.
Enterprise
Software - Strategy & Implementation
The client develops XML-based software
products and utilities, based on its patented technology, to
facilitate the production, management and reuse of structured
documents.
We were initially introduced
to the Company by their lead venture capital investor to assist
the CEO to prepare new Strategic and Operational plans. At the
time, the company was very small, with a staff of less than
a dozen people.
Subsequently, we were asked
to take on management responsibility for the turnaround of a
new European subsidiary, purchased out of receivership. Under
our direction, the parent broke even on acquisition costs within
8 months, and within less than a year, European operations accounted
for a significant percentage of total corporate revenue. The
company had grown to a total staff complement of 70 people.
Later, we were responsible for setting up a corporate marketing
department and designing a company-wide marketing strategy
which included the launch of a new core product offering,

Advisory Services

As financial advisor to a Canadian-based
Internet e-commerce software company we were responsible
for organizing an initial financing round of $1.25 million. The
Company now trades on the TSX Venture Exchange.

We were responsible for developing
a US$300 million financing proposal on behalf of a major
publicly traded Pakistani industrial group to acquire and
expand a large industrial facility being privatized by the
Pakistani government. The client’s
objective was to raise USD funding on the international market.
Technology
Due Diligence & Business Planning
Smartcards, especially multi-application
cards, remain an underutilized technology in North America.
But we were involved very early on. Our client, a U.S.
based firm with a patented card OS and innovative security
features, sought 3rd party funding to move beyond the prototype
phase.
We carried out a comprehensive
market research and competitive intelligence program. Then we
developed the new business plan and financial model that led
to a $10 million funding offer.
